Welcome to Fexel. These Terms and Conditions govern your use of our website and the services we provide. By accessing our website or engaging us for any project, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our website or services.

Services

Fexel provides creative and design services including but not limited to brand identity, web design and development, UI/UX design, motion design, content strategy, and related creative work. The specific scope, deliverables, timeline, and fees for any project will be outlined in a separate project proposal or agreement before work begins.

Project Agreements

All projects undertaken by Fexel begin with a formal proposal or statement of work agreed upon by both parties. This document will outline the project scope, deliverables, timeline, payment terms, and any other relevant details. Any changes to the agreed scope may result in adjustments to the timeline and fees, which will be communicated and approved before proceeding.

Payments

Unless otherwise stated in the project agreement, a deposit is required before any work begins. The remaining balance is divided into milestone payments or due upon project completion, as outlined in the proposal. All invoices are due within 14 days of receipt unless otherwise agreed. Late payments may result in project delays or suspension of work until the outstanding balance is cleared. We reserve the right to charge interest on overdue payments at a rate of 1.5% per month.

Intellectual Property

Upon full and final payment, the client receives full ownership of all final deliverables as outlined in the project agreement. Until payment is received in full, all work produced by Fexel remains the intellectual property of Fexel. We reserve the right to showcase completed work in our portfolio, on our website, and across social media unless a written non-disclosure agreement states otherwise. Any third-party assets such as stock images, fonts, or plugins used in a project may be subject to their own licensing terms, which will be communicated to the client.

Client Responsibilities

To ensure smooth project delivery, clients are expected to provide all necessary materials, content, access, and feedback within agreed timelines. Delays in providing required materials or feedback may result in extended timelines and potential additional costs. Clients are responsible for ensuring that any materials they provide do not infringe on the intellectual property rights of any third party.

Revisions and Approvals

Each project includes a defined number of revision rounds as outlined in the project agreement. Additional revisions beyond the agreed scope will be billed separately at our standard hourly rate. Once a project phase or deliverable is formally approved by the client, any further changes to that phase will be treated as new work and billed accordingly.

Termination

Either party may terminate a project by providing written notice. If the client terminates a project, payment is due for all work completed up to the date of termination, including any committed third-party costs. If Fexel terminates a project, we will deliver all completed work up to that point and refund any payment for undelivered work. Deposits are non-refundable in all cases unless otherwise agreed in writing.

Limitation of Liability

Fexel will always strive to deliver the highest quality work, but we cannot guarantee specific business outcomes such as increased revenue, traffic, or conversions as a result of our services. Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project. Fexel is not liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables.

Warranties

We warrant that all work delivered will be original and will not knowingly infringe on the intellectual property rights of any third party. We provide a 30-day support window after project delivery to address any bugs or technical issues related to our work. Beyond this period, additional support or maintenance will be billed separately.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes but is not limited to business strategies, financial information, unreleased products, and internal communications. This obligation survives the completion or termination of any project.
